Quantum Mind Terms of Service

1. Acceptance of Terms

By accessing or using Quantum Mind's website and AI automation services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Services. These Terms apply to all visitors, clients, and others who access the Services.

2. Description of Services

Quantum Mind provides AI-powered receptionist automation services including but not limited to: AI receptionist setup, lead capture and follow-up automation, and booking/FAQ automation, primarily serving healthcare practices and related businesses.

3. Client Responsibilities

As a client, you agree to:

• Provide accurate, complete, and up-to-date information required to configure and operate our Services.
• Use the Services only for lawful purposes and in compliance with all applicable laws, including HIPAA where applicable.
• Not use our Services to transmit unsolicited communications, malicious content, or any material that violates third-party rights.
• Notify us promptly of any unauthorized access to or use of your account or credentials.

4. Compliance & Data Obligations

For clients requiring high data security or HIPAA compliance:

• Appropriate Data Protection Agreements must be executed as required.
• Quantum Mind handles sensitive data solely to the extent necessary to perform the agreed-upon Services.
• Our AI systems are configured for administrative functions only.

5. Payment Terms

Service fees are outlined in your individual service agreement or proposal. Unless otherwise specified: invoices are due within 14 days of issuance; late payments may incur interest at 1.5% per month; and Quantum Mind reserves the right to suspend Services for accounts more than 30 days past due. All fees are non-refundable unless expressly stated in your agreement.

6. Intellectual Property

All content, software, systems, workflows, and materials created by Quantum Mind remain the intellectual property of Quantum Mindunless explicitly transferred in writing. Clients are granted a non-exclusive, non-transferable license to use deliverables for their internal business purposes. You retain ownership of all content and data you provide to configure the Services.

7. Limitation of Liability

To the fullest extent permitted by applicable law, Quantum Mind shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, data, or business opportunity, arising from your use of or inability to use the Services. Our total cumulative liability shall not exceed the amount paid by you to us in the three months preceding the claim.

8. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components.

9. Termination

Either party may terminate the service relationship with 30 days' written notice. Quantum Mind may terminate immediately for material breach, non-payment, or use of Services in violation of these Terms. Upon termination, all licenses granted to you cease immediately.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the applicable jurisdiction, without regard to its conflict of law provisions. Any disputes shall be resolved through binding arbitration unless both parties agree otherwise in writing.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide at least 14 days' notice of material changes via email or prominent notice on our website. Continued use of Services after the effective date constitutes acceptance of the revised Terms.
